Finding Details

The Authority did not provide the minutes of the Board of Commissioners meetings for the period April 1, 2025, through September 30, 2026 upon the 7 request made by the Auditor. The Authority did not provide the minutes of the Board of Commissioners meetings for the period April 1, 2025, through September 30, 2026. As a result, the Auditor were unable to determine whether any matters discussed or approved by the Board required adjustment to or disclosure in the accompanying financial statements. The Auditor were unable to obtain sufficient appropriate audit evidence regarding the completeness of Board actions affecting the financial statements. Accordingly, the Auditor were unable to determine whether any adjustments or disclosures might have been necessary. A refusal to provide board minutes is often a significant red flag under AU-C 705 (AICPA), the auditor should evaluate: • Whether the refusal casts doubt on management's representations. • Whether there may be fraud risk implications. Sufficient evidence cannot be obtained and the refusal to provide the minutes to the Board meetings creates a scope limitation. Qualified Opinion (Except For). The Auditor were unable to obtain sufficient appropriate audit evidence regarding matters discussed and actions taken at meetings of the Board of Directors during the year because management did not make the minutes available for our inspection. Consequently, the Auditor were unable to determine whether any adjustments or disclosures might be necessary with respect to the financial statements. Management should place all board meeting minutes and approved board resolution in a binder by date order for easy reference upon request.
